Terms of Service — SHA7N Driver

These Terms of Service ("Terms") govern your access to and use of the SHA7N Driver mobile application (the "App") and the related driver services provided by SHA7N ("SHA7N", "we", "us", or "our") (together, the "Service").

By creating an account or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

SHA7N operates a technology platform that connects drivers and delivery partners ("Drivers", "you") with customers who request delivery and transport services. The App enables you to receive delivery offers, accept and complete deliveries, navigate to pickup and drop-off locations, communicate status, and track your earnings.

SHA7N provides the technology platform that facilitates these connections. SHA7N is not a transport or delivery company in the sense of performing the deliveries itself; the deliveries are performed by you.

2. Eligibility

To use the Service as a Driver, you must:

  • Be of legal age to work and to drive in Iraq.
  • Hold a valid, current driving license appropriate for your vehicle.
  • Own or be lawfully authorized to operate the vehicle you register.
  • Hold valid vehicle registration and any insurance required by law.
  • Provide accurate identity, license, and vehicle documentation for verification.
  • Comply with all applicable traffic, transport, tax, and safety laws.

We may refuse, suspend, or revoke access if you do not meet these requirements.

3. Account Registration and Verification

  • You register using your phone number, which is verified by a one-time SMS code.
  • You must provide accurate, complete, and up-to-date information, including identity documents (national ID, driving license) and vehicle documents required for verification (KYC).
  • You are responsible for keeping your documents current; expired licenses or registrations may result in suspension.
  • You are responsible for all activity that occurs under your account and for keeping your login credentials secure.
  • You may register and use only one Driver account unless we expressly permit otherwise.

You authorize SHA7N to verify your information and documents, including with third parties, for eligibility, safety, and fraud-prevention purposes.

4. Relationship of the Parties

You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and SHA7N. You:

  • Decide whether, when, and how long to make yourself available for deliveries.
  • Are responsible for your own taxes, vehicle costs, fuel, maintenance, and any insurance or licenses required by law.
  • Are not entitled to employment benefits from SHA7N.

5. Deliveries and Driver Conduct

When using the Service, you agree to:

  • Accept and complete deliveries professionally, safely, and in line with the agreed pickup and drop-off details.
  • Operate your vehicle lawfully and never while impaired, distracted, or in violation of traffic laws.
  • Handle goods with reasonable care and deliver them to the correct recipient.
  • Treat customers and SHA7N staff with respect and without discrimination, harassment, or abuse.
  • Not subcontract, transfer, or allow another person to perform deliveries under your account.
  • Keep your registered vehicle in safe, roadworthy, and legal condition.

You are solely responsible for your conduct and for any loss, damage, or injury arising from your performance of deliveries.

6. Location Tracking

The Service requires collection of your precise location, including in the background, while you are online, in a dispatch queue, or on an active delivery. This is necessary to match you with deliveries, allow customers to track their order, and calculate routes and earnings. By using the Service you consent to this collection as described in the Privacy Policy. If you disable location access, you will not be able to receive or complete deliveries.

7. Earnings, Wallet, and Payouts

  • Your earnings for completed deliveries accrue to your in-app wallet balance.
  • Earnings, fees, deductions, and adjustments are recorded as transactions you can view in the App.
  • SHA7N may deduct platform service fees, commissions, and applicable charges from your earnings; the applicable rates are made available to you in the App or through other communications.
  • Payouts are made to the bank account / IBAN you provide, subject to verification and any minimum thresholds or schedules we set. Payouts are processed through our payment partner.
  • You are responsible for providing accurate payout details. SHA7N is not liable for delays or losses resulting from incorrect details you provide.
  • You are responsible for any taxes due on your earnings.

We may withhold, adjust, or reverse payments associated with fraud, error, chargebacks, disputes, or violations of these Terms.

8. Ratings and Feedback

Customers may rate and provide feedback on your deliveries. Your aggregate rating may affect your access to deliveries and standing on the platform. Persistently low ratings or serious complaints may lead to review, suspension, or termination.

9. Prohibited Conduct

You must not:

  • Provide false, misleading, or fraudulent information or documents.
  • Manipulate the dispatch, earnings, ratings, or incentive systems.
  • Use the App for any unlawful purpose or to transport illegal, dangerous, or prohibited goods.
  • Interfere with, reverse engineer, disrupt, or attempt to gain unauthorized access to the Service or its systems.
  • Use another person's account or allow another person to use yours.
  • Harass, threaten, or endanger customers, other drivers, or SHA7N staff.

10. Intellectual Property

The App, the SHA7N name and logos, and all related software and content are owned by SHA7N or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely to provide Services as a Driver. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service.

11. Suspension and Termination

  • You may stop using the Service and request account deletion at any time (see the Privacy Policy, Section 11).
  • We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, provide false information, pose a safety or fraud risk, let your documents lapse, or where required by law.
  • Upon termination, your right to use the App ends. Outstanding earnings will be paid out subject to verification and these Terms; outstanding obligations to SHA7N remain due. Provisions that by their nature should survive termination (including payment, liability, and governing law) will survive.

12. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, SHA7N disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or always available, or that delivery offers will be continuously available.

SHA7N is not responsible for the conduct of customers or third parties, or for events occurring during deliveries that are outside our reasonable control.

13. Limitation of Liability

To the fullest extent permitted by law, SHA7N and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, earnings, data, or goodwill, arising out of or related to your use of the Service. To the extent SHA7N is found liable, our total aggregate liability will not exceed the total platform fees you paid (or net earnings processed) to SHA7N in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify and hold harmless SHA7N and its officers, employees, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your deliveries, your vehicle, your breach of these Terms, or your violation of any law or the rights of any third party.

15. Changes to the Service and Terms

We may modify the Service or these Terms at any time. When we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, notify you in the App. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Iraq, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Iraq, unless otherwise required by applicable law.
